Cadyon End User Licence Agreement

Version 1.4, 16 September 2026

Important. This is a legal agreement between you and the Licensor. Read it before installing or using the Software. By installing, copying, or using the Software, or by accepting these terms when the Software presents them, you agree to be bound by this agreement. If you do not agree, do not install or use the Software.

1. Definitions

"Licensor" means Drugo projektiranje, Petar Crnčec s.p., a sole trader registered in the Republic of Slovenia under registration number 9190422000, VAT number SI86339249, of Ulica borcev za severno mejo 21, 1000 Ljubljana, Slovenia; contact legal@cadyon.com.

"Software" means the Cadyon 3D Converter desktop application and its command-line tool, in object code form, together with any updates, upgrades, and accompanying documentation the Licensor makes available, except where an update is supplied under separate terms.

"You" means the individual accepting this agreement, and, where that individual accepts it on behalf of an organisation, that organisation. An individual accepting on behalf of an organisation warrants that they are authorised to bind it.

"Tier" means one of the levels of permitted use described in clause 3.

"Licence Key" means an alphanumeric key issued by or on behalf of the Licensor that unlocks a Paid Tier.

"Paid Tier" means the Pro Tier or the Advanced Tier, according to the product for which the Licence Key was purchased.

"Your Content" means the drawing files you supply to the Software and the output files the Software produces from them.

"Commercial Use" means any use in the course of a business, trade, profession, employment, or other activity carried on for payment or for commercial advantage, whether for you or for any person you act for, and includes use of output in production, in deliverables, or in billable work.

2. Scope and acceptance

2.1 This agreement governs all use of the Software, whichever Tier applies, and applies in place of any purchase order or other terms you may put forward.

2.2 You must be of the age of legal capacity in your jurisdiction to accept this agreement.

2.3 The Software may require you to accept a revised version of this agreement in accordance with clause 16 before it will continue to operate.

3. Licence grant and Tiers

3.1 Grant. Subject to your compliance with this agreement, the Licensor grants you a non-exclusive, non-transferable, non-sublicensable, revocable licence to install and run the Software on computers you own or control, for the purposes and within the limits of the Tier that applies to you. The Software is licensed, not sold. All rights not expressly granted are reserved to the Licensor.

3.2 Evaluation Tier. On first installation the Software grants an evaluation allowance of a fixed number of conversions, the number being stated in the Software, without a Licence Key and without charge. While the allowance lasts, no file size limit applies. Drawings are converted one at a time; conversion of several files or a folder at once is available only under a Paid Tier, and the command-line tool only under the Advanced Tier.

(a) The allowance is granted for the sole purpose of evaluating whether to acquire a licence for a Paid Tier. You may evaluate the Software on any drawings lawfully available to you, including those of your employer or of a client.

(b) Output produced under the Evaluation Tier must not be put to Commercial Use.

(c) The allowance is granted once per installation. It is not renewed or restored by uninstalling and reinstalling the Software, by activating and subsequently deactivating a Licence Key, by restoring a backup, or by any other means. Attempting to obtain the allowance more than once is a breach of this agreement.

3.3 Free Tier. When the evaluation allowance is exhausted, the Software continues to operate under the Free Tier rather than ceasing to function. The Free Tier is granted for personal, non-commercial use only and must not be put to Commercial Use. Under the Free Tier the Software converts one drawing at a time, subject to a maximum input file size stated in the Software.

3.4 Paid Tiers. A valid Licence Key grants a licence to use the Software for any purpose, including Commercial Use, for the period, if any, for which it is issued. Each Licence Key is licensed to one named individual (the "Licensed User"), who may use the Software under it on one computer at a time. A Licence Key must not be used by more than one individual or be active on more than one computer at once. The Licensed User may move a Licence Key to another computer by deactivating it on the first and activating it on the second. Where You are an organisation, You may designate one Licensed User per Licence Key and may reassign the Licence Key to another individual no more than once in any thirty days, or sooner where the Licensed User leaves Your organisation or permanently changes role.

(a) The Pro Tier removes the file size limit and permits the conversion of several files or a folder at once.

(b) The Advanced Tier includes everything in the Pro Tier and, in addition, the command-line tool and per-solid conversion diagnostics.

(c) A Licence Key applies to the major version of the Software for which it was issued (for example, 1.x), including all updates released within that major version. It does not unlock a later major version, which may be offered separately.

3.5 Determination of Tier. The Tier in force is determined by the Software. Where more than one Tier could apply, the terms of the Tier actually in force at the time of the use in question govern that use.

4. Licence Keys and activation

4.1 Licence Keys are issued through the Licensor's payment provider, currently Lemon Squeezy Inc. Activating a Licence Key transmits the key together with the computer name and user name to that provider so that activations may be counted against the permitted number.

4.2 The Software re-confirms the Licence Key with the provider periodically while the computer has internet access, and continues to operate for a defined offline period, stated in the Software, without such access. On expiry of that period without confirmation the Software reverts to the Free Tier.

4.3 A Licence Key that is refunded, charged back, revoked, suspended, or expired ceases to unlock a Paid Tier.

4.4 A Licence Key may be used only by its Licensed User. You must not share, sell, lend, sublicense, publish, or otherwise disclose a Licence Key, or allow any individual other than the Licensed User to use the Software under it.

5. Restrictions

You must not, and must not permit any other person to:

(a) put the Free Tier, or output produced under the Evaluation Tier, to Commercial Use, or otherwise use the Software beyond the limits of the Tier in force;

(b) interfere with, circumvent, reset, or attempt to obtain more than once the evaluation allowance described in clause 3.2;

(c) bypass, disable, tamper with, or interfere with any Tier limit, licence check, activation mechanism, or compliance measure in the Software, or provide false information to any of them;

(d) copy, distribute, rent, lease, lend, sell, sublicense, assign, host, or otherwise make the Software available to any third party, except that you may install it on computers permitted by your Tier;

(e) modify, adapt, translate, decompile, disassemble, or reverse-engineer the Software, or attempt to derive its source code or underlying algorithms, save to the extent that applicable law expressly permits this notwithstanding this restriction and, where the law so requires, only after requesting the necessary information from the Licensor;

(f) remove, obscure, or alter any copyright, trade mark, or other proprietary notice in or on the Software or its output;

(g) use the Software in breach of any applicable export control, sanctions, or trade law, or make it available to any person or in any territory prohibited by such law.

6. Verification of compliance

6.1 The Software records and reports information about the installation as described in clause 11 and in the Privacy Notice, for the purposes of, among other things, verifying compliance with the Tier limits in clause 3.

6.2 Where the Licensor reasonably believes that the Software is being used in breach of clause 3.2(b) or clause 3.3, the Licensor may contact you to establish the position and may require you to confirm the basis on which the Software is being used.

6.3 The remedies for use in breach of the Tier limits are those set out in this agreement and at law, including termination under clause 15 and a claim for the licence fees that would have been payable. For the avoidance of doubt, the Licensor does not acquire any right in Your Content by reason of any breach.

7. Your Content

7.1 Your Content remains yours. The Licensor claims no ownership of, and acquires no licence in, Your Content.

7.2 The Software processes Your Content locally on your computer. No drawing file, output file, or content extracted from either is transmitted to the Licensor or to any third party by the Software.

7.3 You are responsible for ensuring that you hold the rights necessary to process Your Content with the Software, and for complying with any confidentiality obligation you owe in respect of it.

8. Intellectual property

8.1 The Software, and all intellectual property rights in it, are and remain the property of the Licensor and its licensors.

8.2 "Cadyon" and any associated logos and product names are marks of the Licensor. Nothing in this agreement grants you any right to use them.

9. Third-party components

The Software incorporates components licensed by third parties. Those components are listed, with the terms applicable to them, in the file THIRD-PARTY-NOTICES.md supplied with the Software. Those terms govern those components and, where they conflict with this agreement in respect of a component, they prevail as to that component.

10. Updates and support

10.1 The Software checks for the availability of a newer version when it starts and, if one exists, offers a link from which it may be downloaded. The Software does not install updates of its own accord.

10.2 The Licensor is under no obligation to provide updates, upgrades, maintenance, or technical support, and may discontinue the Software or any of its features at any time. This clause does not affect any right you have under clause 13.3.

11. Data protection

11.1 The Software reports information about the installation, including an installation identifier, the application and operating system versions, the Tier in force, and counts of conversions and of refusals under Tier limits.

11.2 Where an installation operating under the Free Tier exhibits characteristics indicating Commercial Use, the Software additionally reports which of those characteristics were present and, where the computer is joined to an organisational domain, the domain name and the operating system account name. An installation operating under a Paid Tier does not report this information.

11.3 Each output file the Software writes carries an identifier for the conversion that produced it. The Software keeps a record of each conversion, consisting of that identifier, the time of the conversion, the Tier in force, and the application version, and reports it with the information in clause 11.1. The record contains no file name, path, or content of any drawing.

11.4 The Software also transmits the information required for activation and periodic confirmation of a Licence Key under clause 4, and requests a file stating the current version of the Software under clause 10.

11.5 The Privacy Notice supplied with the Software as PRIVACY.md sets out the legal bases on which this information is processed, the periods for which it is retained, and the rights available to you, including the right to object. The Privacy Notice forms part of this agreement.

12. Consumer rights and right of withdrawal

12.1 This clause applies where you acquire a licence for a Paid Tier as a consumer, that is otherwise than in the course of a business.

12.2 You have a right to withdraw from the purchase within fourteen days of the conclusion of the contract without giving a reason.

12.3 Where you request that supply begin immediately, and expressly consent to that and acknowledge that you thereby lose the right of withdrawal on full performance, the right of withdrawal is lost once the Licence Key has been supplied to you.

12.4 To exercise the right of withdrawal, notify the Licensor at the address in clause 1 before the period expires. Sums paid will be reimbursed without undue delay.

12.5 Nothing in this agreement excludes or limits your statutory rights as a consumer under the mandatory law of the country in which you reside.

13. Warranties and disclaimer

13.1 The Licensor warrants that it has the right to grant the licence set out in clause 3.

13.2 Save as stated in clause 13.1 and subject to clause 13.3, the Software is provided "as is" and "as available", and the Licensor disclaims all warranties, conditions, and other terms, whether express or implied, statutory or otherwise, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, or non-infringement, to the fullest extent permitted by applicable law. The Licensor does not warrant that the Software is free from defect, that it will operate without interruption, or that every drawing submitted to it will convert.

13.3 Nothing in this agreement excludes or restricts any warranty, condition, or remedy that applicable law does not permit to be excluded or restricted, including the statutory conformity rights of a consumer.

13.4 You are responsible for verifying the output of the Software before relying on it, including before its use in manufacture, construction, or any other application in which error could cause loss or harm.

14. Limitation of liability

14.1 Nothing in this agreement limits or excludes the liability of either party for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that applicable law does not permit to be limited or excluded.

14.2 Subject to clause 14.1, the Licensor is not liable, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, revenue, business, anticipated saving, goodwill, or data, or for any indirect, special, incidental, or consequential loss, however arising, even if advised of the possibility of such loss.

14.3 Subject to clause 14.1, the total aggregate liability of the Licensor arising out of or in connection with this agreement or the Software is limited to the total amount you have paid to the Licensor for the Software, and, where you have paid nothing, to one hundred euro (EUR 100).

14.4 The allocation of risk in this clause 14 is reflected in the price of the Software and in the availability of the Evaluation and Free Tiers at no charge.

15. Term and termination

15.1 This agreement takes effect when you first accept it and continues until terminated.

15.2 This agreement terminates automatically, without notice, if you breach any term of it.

15.3 You may terminate this agreement at any time by ceasing all use of the Software and deleting all copies of it in your possession or control.

15.4 The Licensor may terminate a licence for a Paid Tier by refunding the amount paid for it, and may suspend or revoke a Licence Key that has been refunded, charged back, or obtained or used in breach of this agreement.

15.5 On termination all licences granted under clause 3 cease immediately and you must cease all use of the Software and delete all copies of it. Output lawfully produced before termination may continue to be used in accordance with the Tier under which it was produced.

15.6 Clauses 1, 5, 6.3, 7, 8, 9, 13, 14, 15.5, 15.6 and 17 survive termination.

16. Changes to this agreement

16.1 The Licensor may issue a revised version of this agreement with a new release of the Software. The revised version applies to that release and to later releases.

16.2 Where a revised version applies, the Software will present it for acceptance. If you do not accept it, you may continue to use the version of the Software you already hold under the version of this agreement you accepted for it, but you may not install the new release.

17. General

17.1 Assignment. You may not assign, novate, or otherwise transfer this agreement or any right under it without the Licensor's prior written consent. The Licensor may assign or novate this agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets, on notice to you.

17.2 Entire agreement. This agreement, together with the Privacy Notice and the third-party notices referred to in it, constitutes the entire agreement between the parties concerning the Software and supersedes all prior understandings concerning it. Nothing in this clause limits liability for fraudulent misrepresentation.

17.3 No waiver. A failure or delay in exercising a right under this agreement does not waive it.

17.4 Severability. If any provision of this agreement is held to be invalid or unenforceable, it is to be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed; the remaining provisions continue in force.

17.5 Third parties. A person who is not a party to this agreement has no right to enforce any of its terms.

17.6 Governing law and jurisdiction. This agreement and any dispute arising out of or in connection with it are governed by the law of the Republic of Slovenia, excluding its conflict of law rules and the United Nations Convention on Contracts for the International Sale of Goods. The courts of the Republic of Slovenia have exclusive jurisdiction, save that, where you are a consumer, this clause does not deprive you of the protection of the mandatory law of the country in which you reside, nor of the right to bring proceedings in the courts of that country.

17.7 Notices. Notices to the Licensor are to be sent to legal@cadyon.com.
